Terms of service.
Overview
These terms apply to any work undertaken by Beenacle Technologies Private Limited ("Beenacle") for a client. They are not the full project agreement (every engagement is governed by a signed Statement of Work, or "SOW") but they cover the defaults that apply unless that SOW says otherwise.
By engaging us, you agree to the terms below. If you have a Master Services Agreement in place with us, that document takes precedence.
Scope and changes
Every engagement starts with a fixed-scope SOW: deliverables, timeline, fee. We don't bill open-ended hourly. If the work changes mid-engagement, we'll write a brief change order. If you sign it, we proceed. If you don't, we deliver what was originally scoped.
Fees and payment
- 50% deposit on signature of the SOW.
- 50% balance on launch, or pro-rated milestones for engagements running longer than 10 weeks.
- Care plans are billed monthly in advance, on the anniversary of the start date.
- Invoices are due within 14 days. We pause work if an invoice is more than 30 days overdue.
- Third-party licenses (plugins, themes, fonts, hosting beyond what's included) are passed through at cost and itemized in the SOW.
Ownership and IP
On final payment, you own all custom design, copy, code, and assets produced specifically for your project. Third-party plugins, themes, fonts, and stock imagery remain owned by their licensors and are passed to you under those licensors' terms.
We retain the right to display the work in our portfolio and to discuss it in case studies, unless we've agreed an NDA covering the engagement.
Timeline
Schedule depends on content readiness, feedback turnaround, and any third parties involved (hosting providers, payment gateways, integrators). We share a week-by-week schedule with every SOW. If feedback slips past the SOW's agreed turnaround windows by more than 10 business days, we may reschedule downstream work to fit other commitments.
Warranty and support
Every site we ship includes a 30-day post-launch warranty on the work we delivered: bugs and defects fixed at no charge. Beyond 30 days, ongoing changes are billed as care-plan work or new SOWs.
Care plans cover managed hosting (where we host), security updates, daily backups, plugin updates, and a defined volume of content edits per month. Specifics are listed in the care plan SOW.
Liability
To the maximum extent permitted by applicable law, our aggregate liability for any claim arising from an engagement is limited to the total fees paid by you under the relevant SOW. We are not liable for indirect, consequential, or punitive damages.
Confidentiality
We treat all client information, credentials, business data, and unpublished plans as confidential by default, without needing an NDA. If you require a separate NDA, send it before kickoff. We'll review and counter-sign within 5 business days.
Termination
Either party may terminate an active engagement with 30 days' written notice. On termination, we deliver all work-in-progress and a final code archive and database export. Hosting credentials are handed back to the client. You pay for work completed up to the termination date. Care plans terminate at the end of the current paid month.
Governing law
These terms are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of courts in West Bengal, India, unless your SOW says otherwise.
